The role of Company Secretary

To lead and deliver best-in-class corporate governance across a fast-scaling, regulated digital asset software business - ensuring compliance, enabling growth across jurisdictions, and supporting effective Board and executive decision-making.

As Company Secretary, you will play a critical role in both shaping and executing our corporate governance framework. You’ll contribute to strategic decision-making while also rolling up your sleeves to deliver high-quality corporate secretarial support across the Group. In true venture style, you’ll be comfortable operating beyond a traditional remit, stepping in where needed and helping the business move at pace.

This role reports directly to the CFO and has responsibility for managing corporate secretarial activity across five Group entities in two jurisdictions, with further expansion expected as we grow.

Requirements

· Lead end-to-end corporate secretarial support across Group entities (UK and international)

· Drive high-quality Board and Committee governance, enabling effective decision-making and oversight, including:

    • Board packs, minutes, resolutions, and action tracking
    • Shareholder communications and statutory filings

· Ensure compliance with all statutory and regulatory obligations across jurisdictions

· Support entity lifecycle management (incorporation, restructuring, dissolution)

· Maintain and evolve governance frameworks, including Delegation of Authority, policies, and entity structures

· Partner with Legal, Compliance, and Finance to ensure governance aligns with regulatory expectations in a crypto asset environment

· Act as a trusted advisor to the CFO and senior leadership on corporate governance and company law matters

· Enhance Board effectiveness by shaping agendas, improving materials, and optimising governance cadence

· Build and scale governance structures that are fit for a growing organisation—balancing strong control with agility

· Introduce efficient, tech-enabled governance processes (e.g. board portals, automation)

Essential Experience:

  • Qualified or part-qualified Company Secretary (ICSA / CGIUKI or equivalent)
  • Experience supporting multi-entity, multi-jurisdictional structures
  • Background in regulated financial services (ideally banking, fintech, or digital assets)
  • Demonstrated excellence in corporate governance administration and advice, including business advisory support as a Company Secretary or legal adviser. Demonstrated minute taking quality and matters arising administration.

Capabilities:

  • High ownership mindset but able to operate independently
  • Strong attention to detail with a pragmatic, commercial approach
  • Experience working in fast-paced or scaling environments preferred
  • Strong stakeholder management at senior level
  • Willingness to go beyond defined scope to get things done
  • Comfort with ambiguity and change
